The terms for working with Adgenic and how we handle your information.
Terms of Service
Last updated: October 13, 2026
These Terms of Service ("Terms") apply to your use of adgenic.co and any services provided by Adgenic ("we," "us" or "our"). By using our website or services, you ("you" or "the client") agree to these Terms. If you don't agree, please don't use our website or services.
1. Our services
Adgenic provides marketing services, which may include paid advertising management, UGC (user-generated content) management, organic content, SEO and conversion work such as landing pages and emails. The exact services, deliverables and pricing for each client are agreed on in writing before work begins, through a proposal, invoice or service agreement.
If anything in a written agreement between us differs from these Terms, the written agreement applies.
2. Payments
- All prices are in US dollars.
- Monthly fees are billed in advance at the start of each billing period.
- Work begins once the first payment is received.
- If a payment is more than 7 days late, we may pause work until the account is paid in full.
- Ad spend is not included in our fees. Ad spend is paid directly by you to the advertising platforms (such as Meta, Google, TikTok or LinkedIn) using your own payment method. Fees paid to UGC creators may be billed separately, as agreed in writing.
3. Monthly plans and cancellation
- Our services run month to month. There are no long-term contracts unless we agree otherwise in writing.
- You can cancel at any time by emailing [email protected] at least 14 days before your next billing date. Your service continues until the end of the period you've already paid for.
- If you cancel with less notice, the next billing period may still be charged.
4. Refunds
- Monthly fees cover the time, planning and work for that period, so fees for a billing period that has already started are non-refundable.
- If we fail to deliver work we agreed to in writing for a billing period, contact us and we'll work with you to make it right, either by completing the work or by giving a partial refund or credit at our discretion.
- Ad spend paid to platforms and fees paid to creators can't be refunded by us.
5. Your responsibilities
To get the best results, you agree to:
- Give us accurate information about your business, products and goals
- Provide access to the accounts and tools we need, such as ad accounts, analytics, your website or your store
- Review and approve work in a reasonable time
- Make sure any materials you give us, such as logos, images, videos, product claims and customer data, are yours to use and don't break any laws or anyone else's rights
Delays in feedback, approvals or access may delay timelines and results.
6. Ad platforms and third parties
Our work often depends on third-party platforms like Meta, Google, TikTok, LinkedIn, Shopify and others. We don't control these platforms, and we're not responsible for:
- Ads being rejected, limited or removed by a platform
- Ad account restrictions, suspensions or bans
- Changes to platform rules, algorithms, pricing or features
- Outages or errors caused by third-party tools
We follow platform rules and best practices, but each platform makes its own decisions.
7. Your products and claims
You're responsible for your products and services and for any claims made about them in your marketing, including claims you ask us to use. This includes following advertising laws and rules, such as FTC guidelines on endorsements and product claims. We may refuse to run ads or content we believe are misleading, unlawful or against platform rules.
8. No guaranteed results
Marketing results depend on many things outside our control, including your product, pricing, offer, website, market, competition and platform changes. We do not guarantee any specific results, such as a certain number of leads, sales, followers or return on ad spend. Any examples, estimates or past results we share are not promises of future results.
9. Ownership and intellectual property
- Your materials (such as your logos, brand assets, product photos and data) remain yours.
- Your accounts (such as your ad accounts, pixels, analytics and store) remain in your name and under your ownership.
- Deliverables we create for you, such as ad copy, designs, landing pages and edited videos, become yours once the fees for that work are paid in full.
- Our methods, templates, frameworks, internal tools and know-how remain ours. You get the finished work, not our internal systems.
- UGC content is subject to the usage rights agreed with each creator. We'll tell you the usage terms for creator content before it's used, such as where it can run and for how long.
- Your results stay private. We won't publicly share your sales, revenue, profits, ad spend or other results unless we ask first and you agree in writing, for example for a case study. We may list your business name as a client unless you ask us not to.
10. Confidentiality
We'll keep your non-public business information confidential, such as your sales numbers, profits, strategies and customer data, and only use it to provide our services. We'll only share any of it publicly with your written permission, as described in Section 9. You agree to keep our private pricing, proposals and methods confidential as well.
11. Limitation of liability
To the fullest extent allowed by law:
- We are not liable for any indirect, incidental or consequential damages, including lost profits, lost revenue, lost data or business interruption.
- Our total liability for any claim related to our services is limited to the amount you paid us in the three (3) months before the claim arose.
12. Indemnification
You agree to protect and cover Adgenic against any claims, damages or costs, including reasonable legal fees, that come from your products or services, the materials or claims you provide, or your breach of these Terms or any law.
13. Website use
The content on adgenic.co is for general information only. You may not copy, misuse or try to disrupt our website. We may update, change or remove website content at any time.
14. Termination
We may pause or end services if payment is not made, if these Terms are broken, if we're asked to do something unlawful or against platform rules, or in cases of abusive behavior or fraud. Fees for work already completed remain payable. Sections 8, 9, 11 and 12 continue to apply after services end.
15. Governing law
These Terms are governed by the laws of the State of California, United States. Any disputes will be handled in the state or federal courts located in California.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we'll change the "Last updated" date above. Continuing to use our website or services after changes means you accept the updated Terms.
17. Privacy
